1. Introduction

These Terms of Service ("Terms") govern your access to and use of the We Draft It platform ("Platform"), operated by Alfano Technologies Inc. (Ontario Corp. No. 1001611474) ("we," "us," or "our"), located at 294 Ottawa Street North, Hamilton, Ontario L8H 3Z9.

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Eligibility — Licensed Legal Professionals Only

The Platform is available exclusively to licensed lawyers and licensed paralegals in good standing with the Law Society of Ontario ("LSO"). We Draft It does not provide services to members of the general public.

By registering for an account, you represent and warrant that you hold a valid licence issued by the LSO and that your licence is in good standing. We reserve the right to verify your licensure status and to suspend or terminate your account if this requirement is not met.

3. Nature of Services

We Draft It is a legal drafting service platform. We connect licensed legal professionals ("Clients") with qualified legal drafters ("Drafters") for the preparation of legal documents including, but not limited to, motions, affidavits, factums, applications, appeal materials, and other litigation or tribunal documents.

We provide drafting services only. We do not provide legal advice, legal opinions, legal representation, or legal referrals. The Client remains solely responsible for reviewing, verifying, and approving all work product before filing, serving, or otherwise relying upon it.

4. Drafters are Independent Contractors

All Drafters engaged through the Platform are independent contractors, not employees, agents, partners, or joint venturers of We Draft It. Drafters are engaged on a per-job basis and retain control over the manner in which they perform their work, subject to the specifications of each engagement.

Accordingly:

  • No employment, agency, or fiduciary relationship is created between We Draft It and any Drafter.
  • Drafters are solely responsible for their own taxes, insurance, and business arrangements.
  • While We Draft It vets and selects Drafters for their qualifications and experience, We Draft It does not supervise or direct the professional work of any Drafter in the manner of an employer.
  • The Client's engagement is with We Draft It. The Client has no direct contractual relationship with the assigned Drafter.

5. Use of Artificial Intelligence

We Draft It may use artificial intelligence ("AI") tools in the preparation of draft documents. All AI-generated content is reviewed by a qualified human drafter before delivery. However, you acknowledge and agree that:

  • AI-assisted drafting is a tool, not a substitute for professional legal judgment.
  • Whether a document is drafted by a human, by AI, or by a combination of both, you are responsible for independently verifying the accuracy, completeness, and legal sufficiency of all work product.
  • AI tools may produce errors, omissions, or inaccuracies that require correction.
  • The use of AI does not diminish your obligation as a licensee to review and take responsibility for all materials filed on behalf of your clients.

6. Verification and Accuracy

We make every reasonable effort to ensure the accuracy and quality of all work product. However, legal drafting is inherently complex and errors may occur. You acknowledge that:

  • All documents are delivered in draft form and must be reviewed by the Client before use.
  • We Draft It does not guarantee that any document is free from errors, omissions, or inaccuracies.
  • The Client bears sole responsibility for verifying all facts, legal citations, procedural requirements, and formatting before filing or relying upon any document.
  • We Draft It is not liable for any loss, damage, or adverse outcome arising from the Client's reliance on unverified work product.

7. Client Obligations

As a Client, you agree to:

  • Provide accurate, complete, and timely instructions and reference materials for each job.
  • Review all delivered work product thoroughly before filing, serving, or distributing it.
  • Not represent We Draft It work product as your own without first verifying its accuracy and completeness.
  • Comply with all applicable rules of professional conduct, including the Rules of Professional Conduct and the Paralegal Rules of Conduct as issued by the LSO.
  • Maintain the confidentiality of your account credentials.

8. Payments and Fees

Fees are quoted on a per-job basis. A quote will be provided before work begins, and payment is required before the completed work product is delivered. Payments are processed securely through Stripe.

All fees are in Canadian Dollars (CAD). Fees are non-refundable once work has been delivered, except at our sole discretion. If a quote is declined, no charge is applied.

Certain jobs may be offered on a complimentary basis at our sole discretion.

9. Confidentiality

We understand that the materials you provide may contain privileged or confidential information. We undertake to:

  • Treat all documents, instructions, and communications as confidential.
  • Restrict access to your files to only those individuals directly involved in completing your job (assigned drafter and platform administrators).
  • Not disclose your materials to any third party without your consent, except as required by law.

You acknowledge that documents are transmitted and stored electronically, and while we use reasonable security measures, no electronic transmission or storage method is completely secure.

10. Intellectual Property

Upon full payment, the Client receives an unrestricted licence to use, modify, file, and distribute the completed work product for the purpose for which it was commissioned. We Draft It retains no ownership interest in the delivered documents.

We Draft It retains all rights in its Platform, templates, processes, tools, and proprietary systems.

11. Limitation of Liability

To the maximum extent permitted by law:

  • We Draft It's total liability for any claim arising from or related to the Platform or any job shall not exceed the fees paid by the Client for the specific job giving rise to the claim.
  • We Draft It shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of clients, missed deadlines, adverse court rulings, or regulatory sanctions.
  • We Draft It is not a law firm and does not practise law. We are not liable for any legal outcome resulting from the use of our work product.

12. Disclaimer of Warranties

The Platform and all services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

13. Account Suspension and Termination

We may suspend or terminate your account at any time, with or without cause, including if we reasonably believe that:

  • You are not a licensed legal professional in good standing.
  • You have violated these Terms.
  • Your use of the Platform poses a risk to us, our Drafters, or other users.

You may close your account at any time by contacting us. Outstanding payments remain due upon termination.

14. Privacy

We collect and process personal information in accordance with applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA). By using the Platform, you consent to the collection and use of your information as described herein and in any separate Privacy Policy we may publish.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

16. Indemnification

You agree to indemnify and hold harmless We Draft It, its officers, employees, contractors, and agents from any and all claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, your breach of these Terms, or your failure to verify work product before use.

17. Modifications to These Terms

We reserve the right to update or modify these Terms at any time. Changes take effect upon posting to the Platform. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. We will make reasonable efforts to notify registered users of material changes via email.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
